1. Scope of Agreement

These Terms & Conditions (“Terms”) govern your use of the Vendtoncell.ca website and your relationship with Les Téléphones Inc. (“Vendtoncell”, “we”, “our” or “us”).

By accessing or using our website, you agree to be bound by these Terms as well as our Privacy Policy. If you do not agree, do not use the website or submit any Product.

We reserve the right to update these Terms at any time without prior notice. Continued use of the website after changes implies your acceptance.

2. Selling Your Product to Vendtoncell

Eligibility and Representations

To complete a Sale, you must:

• Be 18 years or older.

• Be the legal owner of the Product.

• Accurately describe the Product’s condition.

• Ensure the Product is not stolen, counterfeit, blacklisted, or account-locked.

Payment

Payments for accepted Sales are issued by Interac e-Transfer to the email address you provide. Vendtoncell is not responsible for any errors caused by incorrect or outdated contact information.

Product Condition

You are responsible for selecting the correct condition from the five options:
Brand New, Mint, Used, Damaged, or Broken.
These definitions are shown during the quoting process and may change at any time.

Offer & Inspection

Offers are based on the information you submit. Once accepted, your Product must be received within 14 days.

After inspection, if the Product condition differs, we may:

• Recalculate the offer, which you have 7 days to accept or reject.

• Reject the Product entirely.

• Return it at your expense if disqualified.

If no response is received, the revised offer is deemed accepted.

Risk of Loss

Vendtoncell is not responsible for any lost or damaged shipments in transit, including those handled by Poste Canada or other carriers. Risk of loss remains yours until the Product is received and inspected.

Data Removal & Ownership

You must erase all personal data before sending your Product. We are not responsible for any remaining data. Title to the Product transfers to us upon final offer acceptance.

Disqualified Products

We do not accept Products that are:

• Blacklisted, locked, counterfeit, remote-managed, or unlisted.

• Such items will be returned at your expense.

• If return shipping is not paid within 7 days, the items will be recycled.

3. General Terms

Electronic Transactions

You consent to conduct transactions electronically and receive notices via email or the website. It is your responsibility to keep your email address accurate and ensure our messages aren’t filtered or blocked.

Prohibited Use

You agree not to:

• Use scripts, bots, or any automated methods to access our services.

• Disrupt or interfere with the website or services.

Liability Disclaimer

We provide all services “as is” without warranties.
To the fullest extent permitted by law:

• We disclaim all express and implied warranties.

• We are not liable for indirect, incidental, or consequential damages.

Indemnification

You agree to indemnify Les Téléphones Inc. and its affiliates against any claims, losses, or damages resulting from your breach of these Terms or misuse of our services.

Governing Law

These Terms are governed by the laws of Québec and Canada. Any legal disputes must be filed in the courts located in Québec.

Final Provisions

• These Terms represent the entire agreement between you and Vendtoncell.

• If any clause is found invalid, it does not affect the remaining provisions.

• Our failure to enforce any right does not waive our ability to enforce it later.
